Impact Telecom (“Impact”), a global provider of voice and data services, today announced they have signed a definitive agreement for Impact to acquire all outstanding shares of Matrix Telecom, Inc. and AmericaTel Corporation (“Matrix”), operating under the brand names Matrix, AmericaTel, Excel Communications, Trinsic, Startec and Zero11 Wireless. Financial terms of the transaction were not disclosed.

The addition of Matrix to Impact’s deep industry experience will create a superior set of solutions for our customers,” commented Bob Beaty, President and CEO of Impact. “Through this combination we are delivering on our commitment to making Impact a high-quality, affordable choice for voice and data services in the telecommunications industry.”
Founded as a CLEC in 2005, and headquartered in Denver, Impact Telecom is presently a leader in the wholesale telecommunications market, delivering flexible and effective solutions. Impact owns and operates a state-of-the-art Voice over IP (VOIP) network, which carries billions of minutes every year.
In addition to its complementary wholesale strategy, the Matrix business and residential customer bases provide service bundles and customer support models geared to customer satisfaction and loyalty. This is a natural fit with Impact’s customer–centric business model.

The combined companies will offer an even wider range of switched and dedicated voice and data services, including domestic and international direct-dial and long distance, toll-free, and local services, as well as carrier transport, conferencing, hosting and other value-added services to commercial, carrier and residential customers.
Once the acquisition has been completed, Impact Telecom will own and operate a robust, nationwide Class IV/V VoIP-enabled network forming a mesh of connectivity across major U.S. metropolitan markets. The network consists of long-haul fiber paths, numerous routers, servers and switching equipment.
The Impact network will provide on-net coverage of virtually every U.S. LATA and maintain inter-connect agreements with more than 300 carriers. The network will enable Impact Telecom to deliver voice and data services to carriers and SIP trunking, hosted IP PBX, IP VPNs and other cloud services to commercial and residential customers.
The transaction is expected to close in the second quarter of 2013 and is subject to receipt of approvals of the FCC and applicable state regulatory authorities. St. Charles Capital, LLC acted as exclusive financial advisor on this transaction.
