Partner Communications Company Ltd. ("Partner" or "the Company") (NASDAQ:PTNR) (TASE:PTNR), a leading Israeli mobile communications operator, reports that it has been informed that Leumi Partners Ltd., a company wholly owned by Bank Leumi le-Israel B.M., and S.B. Israel Telecom Ltd. entered into a share purchase agreement on January 23, 2013, pursuant to which S.B. Israel Telecom will purchase from Leumi Partners 3,200,000 ordinary shares of the Company ("the Transaction").
According to the share purchase agreement, the minority shareholder rights that were granted to Leumi Partners by Scailex Corporation Ltd., in connection with its holdings in the Company, shall be terminated as of the closing of the Transaction, which is expected to be completed concurrently with the closing of the transaction between Scailex Corporation and S.B. Israel Telecom in the next few days.
