MONTREAL, QUEBEC, CANADA -- (Marketwire) -- 11/13/12 -- Garda World Security Corporation ("Garda") (TSX:GW), one of the leading Security Solutions and Cash Logistics firms in the world, announced today that the consortium formed by Stephan Cretier, Founder, Chairman and CEO of Garda, and a subsidiary of funds advised by Apax Partners ("Apax"), a global private equity firm, have concluded the acquisition (the "Transaction") of Garda and have acquired all of the outstanding Class A shares of Garda (the "Common Shares") for cash consideration of $12 per Common Share. As a result of the completion of the Transaction, it is expected that the Common Shares of Garda will be delisted from the Toronto Stock Exchange on or about November 15, 2012 at the closing of the market.
For shareholders who held their Common Shares through a broker, the payment of the consideration will be processed through their broker. For shareholders who held their Common Shares in registered form, the payment of the consideration will be processed after they deposit their share certificates with Canadian Stock Transfer Company Inc., the depositary for the Transaction, in accordance with the instructions in the Letter of Transmittal previously sent. Any questions regarding payment of the consideration, including any request for another form of Letter of Transmittal, should be directed to the depositary via telephone at 1 (800) 332-6179 (toll free in North America) or via email at inquiries@phoenixadvisorscst.com.
